Terms, Assumptions and Limiting Conditions

Because Competitive Analytics’ analyses will be based on estimates and assumptions that are inherently subject to uncertainty and variation depending on evolving events, we will not represent them as results that will be achieved. Some assumptions inevitably will not materialize, and unanticipated events and circumstances may occur; therefore, the actual results achieved may vary materially from the estimated and from the forecasted results. Competitive Analytics has no responsibility to update any report or other deliverable for events and circumstances occurring after the final submittal of such report or deliverable.

The following standard conditions apply to engagements performed by Competitive Analytics: Reports and other deliverables may contain estimates of future sales activity (e.g., absorption rates, sales value, rents, demand, supply, etc.) or other events that represent the Competitive Analytics’ mathematical analysis and/or view of reasonable expectations at a particular point in time, but such activities or events are not offered as predictions that will be realized or as assurances that forecasts will be achieved, that events will occur, or that indicated sales will occur. Actual results achieved during the period covered by our analyses could vary from those described in our report, and the variations may be material. Information furnished by other third party source is presumed to be reliable and accurate, and unless specified in the report to the contrary, has not been verified; no responsibility, whether legal or otherwise, is assumed for its accuracy, and it cannot be guaranteed as being certain.

Competitive Analytics does not, as part of its engagement, perform an audit, review, examination, or appraisal (as defined by the AICPA) of any historical or prospective financial information used, and therefore does not express any opinion with regard to same. The report and conclusions included therein are intended for the information of the person or persons to whom they are addressed, solely for the purposes stated therein, and should not be relied upon for any other purpose. In the event that the report is distributed to third parties (assuming consent by Competitive Analytics), Competitive Analytics shall be held harmless relative to use or reliance on the report for any purpose. None of our reports or other deliverables, their contents, or any reference to the employees or independent contractors of Competitive Analytics, may be included or quoted in any offering circular or registration statement, prospectus, sales brochure, appraisal, loan or other agreement or document without our prior written permission. Generally, Competitive Analytics will not agree to the use of its name as a "named expert" within the meaning of the Securities Act of 1933 and the Securities Exchange Act of 1934 unless written consent is provided by David Scott Savlowitz. Conclusions presented in our reports and other deliverables assume market conditions as observed as of the date of our market research, Competitive Analytics assumes no liability should market conditions materially change because of unusual or unforeseen circumstances.

All deliverables and work product developed and/or customized by Competitive Analytics are of a proprietary nature, including but not limited to code, programming, models, software, methodologies, processes, techniques, workflows, data sources, visualizations, modules/views designed within third party programs, trade name, patent, trademark, service mark, trade dress, trade design, logo, copyright, intellectual property, invention, trade secret, improvement (collectively, “ CA Property”) and are the sole and exclusive property of Competitive Analytics.

Clients and prospective clients shall not, at any time, have or claim any right, title or interest in any CA Property. For further clarification, Clients and prospective clients shall not have any rights to Competitive Analytics’ TPSI™ and DECIPHER™ models. Furthermore, programming code shall not be viewed, edited, altered, copied, or distributed in any way by Clients, prospective clients, or any authorized users. Clients and prospective clients may not reverse engineer, decipher, decompile, modify or disassemble reports, analyses, data output, contents, information, or deliverables, or otherwise attempt to derive the source code of software code. For further clarification, the deliverables and work product developed and/or customized by Competitive Analytics are not work-for-hire.

All reports, analyses, data output, information, contents, deliverables and other work products arising under the engagement are for the Clients and prospective clients' internal purposes only and must be kept confidential, unless otherwise agreed to in writing by David Scott Savlowitz. Reproduction of, redistribution of, copying, retransmission of, reverse-engineering, modifying, publishing, creating derivative works from, transferring, or otherwise using, in whole or in part, any reports, analyses, data output, information, contents, deliverables and other work products provided by Competitive Analytics or derivatives thereof, except for the purposes expressly provided herein, is strictly prohibited without David Scott Savlowitz’s prior written consent on behalf of Competitive Analytics. For further clarification, none of the reports, analyses, data output, information, contents, deliverables or other work products provided by Competitive Analytics or derivatives thereof shall be distributed to the public through advertising media, news media, sales media, or any other public means of communication. In addition, none of the reports, analyses, data output, information, contents, deliverables or other work products provided by Competitive Analytics or derivatives thereof shall be distributed to third parties, including other consultants and providers of data, analytics, and business intelligence products and services. Furthermore, none of the reports, analyses, data output, information, contents, deliverables or other work products provided by Competitive Analytics or derivatives thereof shall be resold, repackaged for resale, used for rental or subscription services, outsourced, licensed, sub-licensed, or made available to any third party.
